We work on a tiered pricing program:

• Tier 1: Standard dealer pricing and is from $0 - $2,999 worth of product ordered.
• Tier 2: 5% discount when you reach $3,000 worth of product.

1. Dealers must have a store front and we require a picture to be provided to us for verification. This is to prevent the possibility of the dealership being operated out of a customer’s basement, garage, or otherwise. We take pride in our product and want to provide our customers with a quality dealer location to provide confidence and service to a customer when buying a FOXPRO product. Therefore, we are not looking to add any dealers that are internet only style businesses.
2. Dealers can apply for credit (application available later).
3. Upon submission of credit information, a D&B credit check will be done on your business. We can proceed to the issuance of pricing and catalog information to begin the ordering process if your credit is verified to be in good standing.
4. There is no minimum buy-in for the first order, however, this initial purchase will be prepaid before shipment is authorized by check or by the credit card information on your credit application.
5. All fill in orders will be based on your store needs and will not have a minimum reorder value assigned to it.
6. You must keep your account active. If we have no orders placed from your store for a period of more than 12 months, we will remove your dealership status and any further purchases from you would require you to re-qualify for dealership.
7. Dealers are listed on our website upon completion of our application forms adherence to our guidelines, and your first initial purchase.

FOXPRO AUTHORIZED DEALER POLICY

Preamble

FOXPRO exists to provide our customers with the highest quality products in the industry. A cornerstone of FOXPRO's business philosophy and marketing strategy is the distribution and sale of our products by and through dealers who share our commitment to providing customer service that is second to none. In order to ensure the high level of customer service required to establish and maintain FOXPRO's position in the marketplace, FOXPRO will distribute and sell our products only through FOXPRO Authorized Dealers ("Authorized Dealers"). By becoming an Authorized Dealer, the undersigned will at all times be subject to the following policies:

1. Marketing and Sales Policy
   Only Authorized Dealers are allowed to sell FOXPRO products to customers. Dealers are Authorized Dealers only after acknowledging this Authorized Dealer Policy and being formally accepted as an Authorized Dealer by FOXPRO.
2. MRP Policy

   FOXPRO will provide each Authorized Dealer with a listing of the Minimum Retail Prices ("MRP") for particular FOXPRO products from time to time. Authorized Dealers will not advertise or sell a product below that product's MRP, excepting only that if the state in which an Authorized Dealer is located prohibits agreements to maintain a minimum retail price, the Authorized Dealer will only be restricted from advertising a product below that product's MRP. The restriction on advertising applies to all advertisements and promotional materials relating to FOXPRO products, whether printed or digital, including but not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogues, mail-order catalogues, websites, email, television, radio and public signage.

   1. Any Authorized Dealer who advertises for sale, or where applicable sells, a FOXPRO product below the MRP, at a "call for price", or any similar offering, or who represents a price lower than MRP with a line through the MRP, will be in violation of this policy.
      
   2. This MRP policy does not establish maximum advertised prices or maximum sales prices; Authorized Dealers may advertise or sell FOXPRO products at any price in excess of that product's MRP.
      
   3. Where this MRP policy applies only to advertising of prices and not sale prices this MRP policy does not:
      1. apply to in-store advertising that is not distributed to any customer.
      2. restrict the price at which FOXPRO products are actually sold or offered for sale to individual customers within the FOXPRO Authorized Dealer's retail location or over the telephone.
      3. limit the ability of any Authorized Dealer to advertise that they have the "lowest prices" or "will meet or beat any competitor's price", as long as the price advertised for the FOXPRO product is not less than the product's MRP.
   4. The advertising or use of any coupon, gift card or additional discount offerings (applied to immediate or future sales) is considered to be an advertisement or sale of the FOXPRO product at that price. Any reduction of the advertised or sale (where applicable) price of a FOXPRO product below its MRP through the use of discounts or coupons will be a violation of this MRP policy.
   5. Bundling of FOXPRO products and/or FOXPRO accessories and advertising (and where applicable selling) them at a price lower than their combined MRP is a violation of this policy. Bundling FOXPRO products with non-FOXPRO products and advertising (and where applicable selling) them at a price which is lower than the sum of the FOXPRO products' MRP and the normal selling price or manufacturer's suggested retail price for the non-FOXPRO product will also be a violation of this MRP policy. The only exceptions to this policy will be promotions sponsored by FOXPRO.
   6. From time to time, FOXPRO may discontinue products or engage in promotions with respect to certain products. In such events, FOXPRO reserves the right to modify or suspend the MRP for those products by notifying all Authorized Dealers of such change.
3. Restriction on Internet Auctions and Sales.
   Authorized Dealers will not sell or offer for sale any FOXPRO products on any internet website without first applying and being selected as an Authorized Internet Dealer. Any used FOXPRO products sold on internet auction sites by Authorized Dealers must be prominently identified as such and must clearly indicate they are being sold without warranty.
4. Returns
   Authorized Internet Dealers must accept returns of any FOXPRO products returned by consumers within thirty (30) days after purchase, and provide either a replacement of the FOXPRO product or return the product to the factory for service.
5. Service
   Authorized Internet Dealers must at all times provide their customers with the highest quality customer service when representing or selling FOXPRO products.
6. Warranties
   Any express warranty extended by FOXPRO to consumers either in its standard terms and conditions or otherwise will apply only to FOXPRO products only if sold by Authorized Dealers. The undersigned agrees to prominently display on its website and in its advertising that it is an Authorized Dealer of FOXPRO products and that all FOXPRO products sold by it are sold with FOXPRO's factory warranty, and FOXPRO products purchased from anyone other than an Authorized Dealer are not sold with FOXPRO's factory warranty.
7. Termination of Status as Authorized Dealer
   FOXPRO reserves the right to terminate the status of any Authorized Dealer in the event that it fails to abide by the terms of this Agreement.

WARRANTY/RETURNS INFORMATION

FOXPRO Games calls are warranted to be free from defects in materials and workmanship that diminish its usefulness for a period of time as established for that particular model from the date of purchase if the item was purchased from a FOXPRO Authorized Retailer. If a defective item is returned to the store, below are the steps to be taken to return the item:

1. If a customer returns an item within 30 days with proof of receipt, with no physical damage, misuse, abuse, corrosion, etc. the item may be eligible to be returned to FOXPRO for a refund of credit or replacement. The proof of purchase must be included with the returned item. If the customer returns the item outside of 30 days, please refer them to FOXPRO for Warranty Repair. They can contact FOXPRO at 717-248-2507, option 2 to speak to our Service Department or email service@gofoxpro.com who will gladly assist them.
2. For items being returned by the Dealer for credit or replacement, please contact Foxpro 717-248-2507, option 3, or email orders@gofoxpro.com to obtain a unique RA#.
3. After an RA# has been requested from the National Sales Department, please return the unit prepaid and packaged securely along with proof of purchase to the address shown below. Include a note describing the defect or problem. This limited warranty is void if the unit is physically damaged, used in a manner contrary to intended use, or otherwise abused, either intentionally or unintentionally. Also specifically excluded are batteries and damage caused by attempts to charge batteries not intended to be recharged, and water damage.
4. Once the returned item(s) are inspected, Foxpro will create a credit memo to be used towards future orders, or contact the dealer with information on why the unit does not meet the guidelines for receiving credit.
